Terms of Service

1) Acceptance of these Terms

By accessing or using HART, you agree to these Terms. If you do not agree, do not use the service. If you use HART on behalf of a facility, anesthesia group, company, or other organization, you represent that you are authorized to do so.

2) What HART Is

HART is a staffing and recruiting platform intended to help certified registered nurse anesthetists (CRNAs), anesthesia professionals, facilities, and anesthesia groups connect, communicate, post jobs, coordinate staffing needs, and manage job-related, scheduling-related, and credentialing-related information.

3) Eligibility and Accounts

You must be at least 18 years old to use HART. You are responsible for:

• Keeping your login credentials secure
• All activity that occurs under your account
• Ensuring the information you provide is accurate and current
• Using HART only for authorized, lawful, and appropriate business purposes

You agree not to create accounts using false information or impersonate others.

4) User Content and Documents

"User Content" includes information, messages, job posts, scheduling information, provider information, notes, and documents you submit or upload, such as resumes/CVs and credentialing-related documents. You retain ownership of your User Content.

By uploading or submitting User Content, you grant HART a non-exclusive, worldwide license to host, store, process, reproduce, display, transmit, and use that content only as needed to operate, secure, support, and improve HART and to provide platform functionality.

You are responsible for ensuring you have the rights, authority, permissions, consent, or other lawful basis needed to upload, submit, share, or process your User Content through HART.

5) No Patient Information or PHI

HART is not intended to store or process patient-identifying information. Users may not enter protected health information, patient-identifying information, medical record numbers, case-specific patient details, diagnoses, treatment information, patient schedules, or other patient-specific clinical information into HART job posts, calendar fields, coverage positions, schedule slots, notes, PRN messages, support messages, documents, or other free-text areas.

Facilities, anesthesia groups, and users are responsible for screening their own submissions and workflows to avoid entering patient information into HART. If you believe patient-identifying information was submitted to HART, contact support@hartanesthesiasolutions.com promptly.

Unless HART enters into a separate written agreement expressly stating otherwise, including any required business associate agreement if applicable, HART is not agreeing to receive, create, maintain, or transmit protected health information on behalf of a covered entity or business associate.

6) Platform Rules / Prohibited Conduct

You agree not to:

• Use HART for unlawful, harmful, fraudulent, or misleading purposes
• Attempt to access other users' accounts or data without permission
• Upload malware or attempt to disrupt the platform
• Scrape or harvest data from the platform without written permission
• Reverse engineer, decompile, or attempt to extract source code except where legally allowed
• Enter patient-identifying information or protected health information into HART

7) Facility Responsibilities, Candidate Forwarding, Calendar Tools, PRN Tools, Credentialing Assistance, and Locum Coverage

Facilities and anesthesia groups may use HART for job posting visibility, candidate forwarding, candidate interest notifications, communication support, PRN shift tools, calendar and scheduling tools, coverage coordination, credentialing-related document tools, locum interest tools, locum coverage support, and other administrative or workforce-related tools.

HART's calendar, PRN, scheduling, coverage, notification, and coordination tools are operational support tools only. Facilities and anesthesia groups remain solely responsible for verifying provider qualifications, credentials, privileges, licensure, certifications, work eligibility, availability, schedule accuracy, employment or contractor status, supervision requirements, staffing levels, patient care coverage, compliance obligations, facility policies, medical staff bylaws, payer requirements, and applicable laws before any provider works.

Facilities and anesthesia groups are responsible for ensuring they have appropriate authority, permission, consent, or another lawful basis to submit provider names, contact information, scheduling information, employment details, availability, vacation/off/unavailable statuses, PRN contact information, and other staffing-related information to HART.

Unless HART enters into a separate written agreement expressly stating otherwise, HART does not employ, supervise, credential, license, background check, verify, recommend, guarantee, insure, privilege, or control any CRNA, provider, facility, anesthesia group, job posting, shift, employment relationship, independent contractor relationship, clinical relationship, or patient care activity.

Facilities and anesthesia groups are solely responsible for evaluating candidates, verifying credentials and qualifications, confirming licensure, performing background checks and reference checks, determining clinical suitability, making hiring or contracting decisions, credentialing, privileging, onboarding, scheduling, supervising, compensating, and managing any relationship formed with a CRNA or other anesthesia professional.

CRNAs and other providers are solely responsible for ensuring that the information they provide is accurate and current, maintaining their professional licensure and certifications, complying with applicable laws and professional requirements, and evaluating any facility, anesthesia group, job, shift, contract, or work opportunity before accepting it.

HART does not guarantee that any job, shift, candidate, provider, facility, credentialing file, calendar entry, notification, message, assignment, locum opportunity, or staffing need will be accurate, complete, available, accepted, filled, approved, credentialed, privileged, or suitable for any particular purpose.

If HART provides credentialing, document collection, document storage, checklist, status-tracking, or file-sharing tools, those tools are provided to assist with administrative organization only. HART does not act as a credentialing committee, medical staff office, licensing board, background screening provider, payer enrollment authority, compliance officer, or final reviewer of any provider's qualifications.

Locum coverage support is separate from HART's no-cost standard job posting. Any locum coverage, placement, assignment, rate, payment, malpractice, travel, housing, onboarding, cancellation, replacement, or assignment-specific terms may require a separate written agreement between the applicable parties. If a separate written agreement applies, that agreement controls to the extent it directly conflicts with these Terms.

HART is not responsible for hiring decisions, credentialing outcomes, privileging decisions, employment decisions, independent contractor arrangements, compensation disputes, scheduling disputes, workplace conduct, clinical performance, patient care outcomes, professional liability claims, or agreements made between CRNAs, facilities, anesthesia groups, or other third parties. Nothing in these Terms is intended to limit liability where such limitation is prohibited by applicable law.

8) Facility Calendar and PRN Acknowledgement

Before using HART facility calendar, scheduling, PRN, or coverage tools, facility users may be required to acknowledge that those tools are for operational staffing support only and that the facility remains responsible for final staffing decisions, schedule verification, credentials, privileges, licensure, supervision requirements, and compliance obligations.

Facility users may also be required to acknowledge that they will not enter patient-identifying information, protected health information, medical record numbers, case-specific patient details, diagnoses, treatment information, or other patient-specific clinical information into HART fields, notes, messages, or documents.

9) Text Messaging (SMS) Terms

If you provide your mobile number and opt in, HART may send you operational text messages related to PRN shifts, staffing coverage, schedule activity, account access, verification, security, application updates, response confirmations, and HART services.

For PRN shift text alerts, a facility may add a PRN contact to its HART PRN contact list, but that does not by itself enroll the contact in SMS alerts. PRN SMS alerts are enabled only after the contact personally uses a HART opt-in page, affirmatively selects SMS notifications, agrees to the SMS consent language, and verifies the phone number by SMS code.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help, or contact support@hartanesthesiasolutions.com. Consent to receive text messages is not a condition of employment, purchase, or use of email notifications.

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to your mobile carrier and device availability. Messages are sent by HART Anesthesia Solutions from phone numbers owned or controlled by HART and/or through our messaging service providers.

HART does not sell SMS consent information or share mobile numbers or SMS opt-in data for third-party marketing. See our Privacy Policy and SMS Consent page for more information.

10) Beta / "As-Is" Nature of Service

HART may be offered in beta. During beta:

• Features may change, break, or be removed
• The service may be unavailable at times
• Data may be modified as part of testing and improvements
• Operational, calendar, PRN, and scheduling tools may require user verification before use in real-world workflows

11) Third-Party Services and Found Jobs

HART relies on third-party providers, including providers for hosting, authentication, email delivery, messaging/SMS delivery, analytics/monitoring, and storage. Your use of HART may also be subject to those third parties' terms.

HART may feature limited factual information about CRNA opportunities found on publicly available third-party websites. These "Found Jobs" link to the original outside job posting and are separate from jobs submitted to HART by a facility or anesthesia group.

Clicking a Found Job link sends the visitor to the third-party website. An outbound click does not constitute an application, candidate submission, or confirmed expression of interest. HART may record anonymous aggregate outbound-traffic information as described in our Privacy Policy.

HART does not control third-party websites and cannot guarantee that a Found Job remains active, accurate, complete, secure, or available. Users should verify the opportunity and its terms directly with the applicable facility, anesthesia group, or original website.

12) Limitation of Liability

To the maximum extent permitted by law, HART Anesthesia Solutions, HART Hub, and their owners, officers, employees, contractors, agents, representatives, affiliates, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, loss of goodwill, staffing disruptions, scheduling disruptions, credentialing delays, employment disputes, contract disputes, or clinical or operational consequences arising out of or related to your use of HART.

To the maximum extent permitted by law, HART will not be liable for claims, disputes, damages, losses, liabilities, costs, or expenses arising out of or related to any job posting, candidate forwarding, candidate communication, candidate interest submission, hiring decision, credentialing decision, privileging decision, employment relationship, independent contractor relationship, PRN shift, calendar entry, schedule assignment, locum assignment, compensation arrangement, workplace conduct, clinical performance, patient care outcome, or agreement between a CRNA, facility, anesthesia group, or other third party.

To the maximum extent permitted by law, HART's total liability for any claim related to HART will not exceed the greater of $100 or the amount you paid directly to HART for use of HART in the 12 months before the event giving rise to the claim. This limitation does not apply where prohibited by applicable law or where a separate written agreement signed by HART expressly provides a different limitation.

13) Indemnification

You agree to defend, indemnify, and hold harmless HART Anesthesia Solutions, HART, and their owners, officers, employees, contractors, agents, representatives, affiliates, successors, and assigns from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of HART
• Your User Content, job postings, candidate submissions, provider information, documents, messages, calendar entries, scheduling information, PRN information, or other information you provide through HART
• Your violation of these Terms or applicable laws
• Your hiring, contracting, credentialing, privileging, onboarding, scheduling, supervision, compensation, workplace conduct, clinical operations, patient care, or professional compliance decisions
• Any employment relationship, independent contractor relationship, PRN shift, locum assignment, compensation arrangement, communication, dispute, or agreement between you and any CRNA, facility, anesthesia group, or other third party
• Your failure to verify credentials, licensure, certifications, references, background information, work eligibility, clinical suitability, availability, privileges, supervision requirements, or other qualifications before entering into or allowing a work relationship
• Your entry or submission of patient-identifying information or protected health information into HART

Nothing in this section requires indemnification where prohibited by applicable law.

14) Suspension and Termination

We may suspend or terminate your account if we believe you violated these Terms, submitted patient-identifying information, created security or legal risk, or pose a risk to the platform or other users. You may stop using HART at any time.

15) Changes to These Terms

We may update these Terms from time to time. We'll post the updated version with a new effective date. Your continued use of HART after changes means you accept the updated Terms.

16) Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Any disputes will be brought in the state or federal courts located in Arkansas, unless otherwise required by law.
